TERMS AND CONDITIONS
Welcome to RISING SERPENT (“we,” “our,” “us”) – a division of the company Absinthe Ltd. with registration number 205748409 and residence in Sofia, Bulgaria, Europe. These Terms & Conditions (“Terms”) govern your use of our website, services, and any related products (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.
I. DEFINITIONS.
Client: The individual or entity purchasing services from Rising Serpent.
Project: Any work agreed upon by both parties, including website design, development, website administration, branding, or other digital services.
Deliverables: Final output for reviewing, including website previews, graphics, code, or other materials specified in the project agreement.
II. SCOPE OF SERVICES.
We provide website creation, design and related digital services as outlined in the client proposal/offer or contract. Any additional work outside the agreed-upon scope may incur extra charges or be declined.
III. PRICING & PAYMENTS.
All pricing will be outlined in a formal proposal or invoice.
For website creation , a deposit of 50% is required before work begins unless otherwise stated. Remaining balances are due upon project completion or according to the payment schedule provided. Late payments may incur a fee of 10% per month. We reserve the right to pause or terminate any project for non-payment.
IV. CLIENT RESPONSIBILITIES.
Clients agree to:
* Provide all required materials (content, images, branding assets, logins, etc.) in a timely manner.
* Review and approve deliverables promptly to avoid delays. We are not responsible for delays caused by the client’s failure to provide required content or approvals.
* Ensure that all materials provided do not violate copyrights or laws.
* Be on time with the payments.
* Communicate in a transparent manner.
V. REVISIONS.
Unless stated otherwise:
* Projects include up to 3 rounds of revisions.
*Additional revisions may be billed, depending on the situation.
VI. PROJECT TIMELINE.
Each client receives a clear and transparent offer with the exact deadlines and price. Usually , we start working on websites the day we receive the deposit. For smaller websites, the deadline for giving you a preview for reviewing is 7 working days. Be careful when you take a look at the offer and when you later sign the agreement , if you choose to sign a project agreement.
VII.HOSTING AND DOMAIN.
If your website is small, you are welcome to use our hosting for a symbolic price (50 Euro per year) , but if it is above 2 GB or it’s an online store – you need to buy a separate hosting space by your choice. In the offer we will send you refferal codes to our partners with discounts, so if you need a hosting, you might get it on a lower price than usual.
The domain name is entirely by your choice and you might get it on namecheap.com, godaddy.com and any other providers you decide. If you create a new account and buy a hosting plan at our partners’ website, you will areceive a free domain name for one year. It is good to have it all in one place, so this is the most recommended thing to do.
VIII. INTELLECTUAL PROPERTY.
Upon final payment, the client owns the final website, its design and content.
All underlying code, frameworks, custom designs, and development tools remain the intellectual property of Rising Serpent.
IX. WEBSITE LAUNCH.
Before launching a site, the client must:
* Approve the final version in writing
* Ensure hosting and domain access is provided
* Confirm that all content complies with relevant laws
We are not liable for post-launch issues caused by the client or third parties.
X. WEBSITE CONTENT ADMINISTRATION.
For the purposes of administration of your website, if the website wasn’t created by us and we don’t have an admin access, we will need at least an editor access to your administration panel, so we can work with the website and publish in it.
XI. MAINTENANCE & SUPPORT.
The client is solely responsible for updates and security, unless his website is on our account server. Basic maintenance is also possible with the plans for Content Administration. In this case, we must have a FULL access to your hosting account and website panel in order to ensure that we can follow for updates, security problems and etc.
XII. LIMITATION OF LIABILITY.
To the maximum extent permitted by law, Rising Serpent:
* Is not liable for any indirect, incidental, or consequential damages
* Provides services “as-is” without warranties unless stated otherwise
* Is not responsible for client-provided content, third-party failures, or unauthorized changes after delivery
Our total liability shall not exceed the total amount paid by the client for the project.
XIII. CONFIDENTIALITY.
Both parties agree to keep confidential any non-public information exchanged during the project unless required by law.
We do not showcase completed projects – confidentiality is very important to us. If you decide to share a few nice words about Rising Serpent – we will be extremely proud and thankful, but let it be entirely your choice.
XIV. TERMINATION.
Either party may terminate the project with written notice.
Upon termination:
* The client must pay for all completed work and outstanding balances.
* No refunds will be issued for work already performed.
Plase, note that may update these Terms at any time. Continued use of our Services constitutes acceptance of updated Terms. These Terms are governed by the laws of Bulgaria. Any disputes will be resolved in the courts of Bulgaria.
